Terms of Service

1. Agreement

By creating an account or using Prici (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms are governed by the laws of New South Wales, Australia.

2. The Service

Prici is a web-based application that helps trade professionals create, send, and manage quotes and invoices. The Service includes AI-powered features for generating quotes from notes, photos, and voice input.

3. Eligibility

You must be at least 18 years old and legally able to enter into contracts in Australia to use the Service. By using Prici, you represent that you meet these requirements.

4. Your Account

You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Providing accurate and complete information when creating your account
• Notifying us immediately if you suspect unauthorised access

5. Your Data

You retain ownership of all content you create through the Service, including quotes, invoices, customer information, and business details. We do not claim any intellectual property rights over your content.

You grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service (for example, displaying a quote to your customer via a shared link).

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Send fraudulent, misleading, or deceptive quotes or invoices
• Attempt to access other users' accounts or data
• Interfere with or disrupt the Service
• Use automated tools to scrape or extract data from the Service
• Resell or redistribute the Service without our written consent

7. AI-Generated Content

The Service uses artificial intelligence to help generate quote line items, terms and conditions, and other content. AI-generated content is provided as a starting point and may contain errors or inaccuracies. You are solely responsible for reviewing and approving all content before sending it to your customers.

8. Pricing and Payments

Prici offers both free and paid plans. Details of current pricing are available on our website. We may update pricing from time to time and will give you at least 30 days' notice before any changes apply to your account. Founding Members receive their agreed benefits as per their membership terms.

9. Service Availability

We aim to keep Prici available around the clock but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or experience outages beyond our control. We will endeavour to give reasonable notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law:

• The Service is provided “as is” without warranties of any kind
• We are not liable for any loss of revenue, data, or business arising from use of the Service
• We are not responsible for the accuracy of AI-generated content
• Our total liability to you is limited to the amount you have paid us in the 12 months prior to the claim, if any

Nothing in these terms excludes or limits any rights you have under the Australian Consumer Law that cannot be excluded or limited by law.

11. Termination

You may delete your account at any time through the Settings page. We may suspend or terminate your account if you breach these terms, with reasonable notice where possible. Upon termination, your data will be handled in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated terms.

13. Disputes

Any disputes arising from these terms will be governed by the laws of New South Wales, Australia. Both parties agree to attempt to resolve disputes informally before pursuing legal action. The courts of New South Wales will have exclusive jurisdiction.
